By installing, accessing, or using any BitsPlus VS Code extension (“Extensions”) or the website at https://www.bitsplus.ai (“Website”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use our products or services.

These Terms constitute a legally binding agreement between you and BitsPlus LLC (“Company,” “we,” “us,” or “our”). We may update these Terms from time to time, and your continued use of the Extensions or Website constitutes acceptance of the updated Terms.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use BitsPlus Extensions as follows:

You agree that you will not:

• Reverse engineer, decompile, disassemble, or attempt to derive the source code of any Extension
• Redistribute, sublicense, rent, lease, or lend any Extension or license key to any third party
• Modify, adapt, or create derivative works based on any Extension
• Remove, alter, or obscure any proprietary notices, labels, or branding in any Extension
• Use any Extension in any way that violates applicable local, state, national, or international law
• Share, publish, or distribute Pro license keys to unauthorized users
• Use automated means to circumvent license activation or validation

Pro tier subscriptions and lifetime licenses are processed through Lemon Squeezy, our merchant of record. By purchasing a Pro license, you agree to Lemon Squeezy's terms of service in addition to these Terms.

Pricing varies by product. Please refer to the pricing page for the specific Extension you are purchasing. All prices are in USD and may be subject to applicable taxes based on your location, as determined by Lemon Squeezy.

6. Refund Policy

We offer a 30-day money-back guarantee on all Pro purchases. If you are not satisfied for any reason, contact us within 30 days of purchase at hello@bitsplus.ai and we will issue a full refund, no questions asked.

Refunds after 30 days are handled on a case-by-case basis at our discretion.

7. Fair Use & Acceptable Use

You agree to use BitsPlus Extensions in good faith and in accordance with their intended purpose. You may not:

• Abuse the license activation system by activating on an unreasonable number of machines
• Interfere with or disrupt the integrity of our license servers or services
• Use any Extension in a manner that could damage, disable, or impair any of our services

8. Intellectual Property

BitsPlus Extensions, including their code, design, documentation, and branding, are the intellectual property of BitsPlus LLC and are protected by applicable copyright, trademark, and other intellectual property laws.

Your use of any Extension does not grant you any ownership rights. All rights not expressly granted in these Terms are reserved by BitsPlus LLC.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BITSPLUS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF ANY EXTENSION OR THE WEBSITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY.

THE EXTENSIONS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

In no event shall our total liability to you exceed the amount you have paid us in the twelve (12) months preceding the event giving rise to the claim, or $100 USD, whichever is greater.

10. Termination

You may stop using any BitsPlus Extension at any time by uninstalling it. For Pro subscribers, you may cancel your subscription at any time through Lemon Squeezy.

We reserve the right to suspend or terminate your access to Pro features if you violate these Terms, including but not limited to sharing license keys, reverse engineering any Extension, or engaging in abusive behavior. In the event of termination for cause, no refund will be issued.

Sections 3 (Restrictions), 4 (Disclaimer), 8 (Intellectual Property), 9 (Limitation of Liability), and 11 (Governing Law) shall survive any termination of these Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in the State of Delaware.

12. Changes to These Terms

We may revise these Terms at any time by updating this page. The “Last updated” date at the top of this page indicates when the Terms were last modified. Your continued use of any Extension or the Website after any changes constitutes your acceptance of the new Terms.

For material changes, we will make reasonable efforts to notify affected users via email or through the Extension.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
