By installing, accessing, or using any BitsPlus software product (“Products”) or the website at https://www.bitsplus.ai (“Website”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use our Products or services.

These Terms constitute a legally binding agreement between you and BitsPlus LLC (“Company,” “we,” “us,” or “our”). We may update these Terms from time to time, and your continued use of the Products or Website constitutes acceptance of the updated Terms.

• Reverse engineer, decompile, disassemble, or attempt to derive the source code of any Product
• Redistribute, sublicense, rent, lease, or lend any Product or license key to any third party
• Modify, adapt, or create derivative works based on any Product
• Remove, alter, or obscure any proprietary notices, labels, or branding in any Product
• Use any Product in any way that violates applicable local, state, national, or international law
• Share, publish, or distribute license keys to unauthorized users
• Use automated means to circumvent license activation or validation

Paid Products may be purchased through third-party payment processors such as Lemon Squeezy or platform app stores (Microsoft Store, Mac App Store, Snap Store). By purchasing a Product, you agree to the applicable payment processor's terms of service in addition to these Terms.

Pricing varies by product. Please refer to the pricing information on the specific product's page. All prices are in USD and may be subject to applicable taxes based on your location, as determined by the payment processor.

6. Refund Policy

We offer a 30-day money-back guarantee on purchases made directly through our payment processors. If you are not satisfied for any reason, contact us within 30 days of purchase at hello@bitsplus.ai and we will issue a full refund, no questions asked.

For purchases made through platform app stores, refund policies are governed by the respective store's terms. Refunds after 30 days (for direct purchases) are handled on a case-by-case basis at our discretion.

7. Fair Use & Acceptable Use

You agree to use BitsPlus Products in good faith and in accordance with their intended purpose. You may not:

• Abuse the license activation system by activating on an unreasonable number of machines
• Interfere with or disrupt the integrity of our license servers or services
• Use any Product in a manner that could damage, disable, or impair any of our services

BitsPlus Products, including their code, design, documentation, and branding, are the intellectual property of BitsPlus LLC and are protected by applicable copyright, trademark, and other intellectual property laws.

Your use of any Product does not grant you any ownership rights. All rights not expressly granted in these Terms are reserved by BitsPlus LLC.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BITSPLUS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF ANY PRODUCT OR THE WEBSITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY.

THE PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

In no event shall our total liability to you exceed the amount you have paid us in the twelve (12) months preceding the event giving rise to the claim, or $100 USD, whichever is greater.

You may stop using any BitsPlus Product at any time by uninstalling it. For subscribers, you may cancel your subscription at any time through the applicable payment processor.

We reserve the right to suspend or terminate your access to paid features if you violate these Terms, including but not limited to sharing license keys, reverse engineering any Product, or engaging in abusive behavior. In the event of termination for cause, no refund will be issued.

Sections 3 (Restrictions), 4 (Disclaimer), 8 (Intellectual Property), 9 (Limitation of Liability), and 11 (Governing Law) shall survive any termination of these Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Washington, United States, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in the State of Washington.

12. Changes to These Terms

We may revise these Terms at any time by updating this page. The “Last updated” date at the top of this page indicates when the Terms were last modified. Your continued use of any Product or the Website after any changes constitutes your acceptance of the new Terms.

For material changes, we will make reasonable efforts to notify affected users via email or through the Product.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
